Terms and Conditions

1. Overview

The She Seals the Deal Grant (“Grant”) is a private funding initiative administered by JBG Ventures LLC (“Sponsor”), a limited liability company. The purpose of the Grant is to support women entrepreneurs in the United States who are actively building and growing their businesses and who demonstrate a clear vision for using funding to advance their business.

Each grant cycle, the Sponsor intends to award:

One (1) grant in the amount of five thousand U.S. dollars ($5,000).

The grant is provided as a non-equity award and does not require repayment when used in accordance with these Terms and Conditions.

Applicants must submit a non-refundable $25 application processing fee at the time of application submission. Payment of the application fee does not guarantee selection or funding.

Participation in the Grant constitutes the applicant’s full and unconditional agreement to these Terms and Conditions and to all decisions made by the Sponsor regarding the administration and outcome of the Grant.

All decisions made by the Sponsor are final and not subject to appeal.

The Grant is void where prohibited by law.


2. Eligibility Requirements

To be eligible for the Grant, applicants must meet the following requirements at the time of application and at the time of award.

2.1 Founder Eligibility

Applicants must:

  • Identify as a woman

  • Be 18 years of age or older

  • Own at least fifty-one percent (51%) of the applying business

  • Be a resident of the United States

  • Operate a business legally registered and operating within the United States

  • Maintain a U.S. bank account capable of receiving electronic funds transfer

  • Agree to provide documentation verifying eligibility if selected

Self-identification is sufficient for purposes of gender identity.

2.2 Business Eligibility

Eligible businesses must:

  • Be for-profit businesses

  • Generate less than $1,000,000 in annual gross revenue

  • Be actively operating or preparing to launch operations

  • Be in good standing under applicable federal, state, and local laws

  • Be owned at least 51% by women

Businesses that fall into the following categories are not eligible:

  • Nonprofit organizations

  • Multi-level marketing (MLM) or network marketing companies

  • Gambling or betting businesses

  • Businesses involving illegal activity

  • Businesses that promote hate speech, discrimination, or harmful conduct

  • Any business that, in the sole judgment of the Sponsor, conflicts with the mission or values of the Grant


3. Application Process

3.1 Application Submission

Applications must be submitted through the official application form designated by the Sponsor.

Applicants must provide accurate and complete information. Applications that are incomplete, inaccurate, misleading, or submitted outside the official form may be disqualified.

Submission of an application does not guarantee consideration if eligibility requirements are not met.

3.2 Application Fee

Applicants must pay a non-refundable $25 application processing fee when submitting their application.

This fee covers administrative costs associated with reviewing applications and operating the Grant program.

Payment of the application fee does not increase an applicant’s likelihood of receiving the grant and is not refundable under any circumstances.

3.3 Application Limit

Applicants may submit one (1) application per grant cycle.

If multiple applications are submitted during the same cycle, the Sponsor reserves the right to consider only the first submission received.

3.4 Grant Cycles

The Sponsor intends to offer the Grant twice per year, but reserves the right to modify the number, timing, or structure of grant cycles at any time.

Application opening and closing dates will be published on the official grant application page.


4. Selection and Notification

4.1 Selection Process

Applications will be reviewed by the Sponsor or a designated review committee.

Applicants will be evaluated based on qualitative factors, including but not limited to:

  • Founder commitment and determination

  • Clarity of how the grant funds will be used

  • Evidence of business viability or early traction

  • The potential impact of the funding

  • The strength and vision of the founder’s long-term business goals

The Sponsor reserves the right to select a recipient at its sole discretion.

4.2 Notification

Selected recipients (“Winners”) will be notified by email.

Winners must respond within ten (10) calendar days of notification to accept the award and complete required documentation.

Failure to respond within this timeframe may result in the selection of an alternate recipient.

4.3 Alternate Selection

If a selected recipient declines the grant, fails to complete verification requirements, or is later determined to be ineligible, the Sponsor may select an alternate recipient.

The Sponsor also reserves the right not to award the grant if no suitable applicants are identified.


5. Grant Disbursement

Grant funds will be distributed via electronic transfer to the recipient’s U.S. business bank account.

Prior to disbursement, recipients may be required to submit:

  • IRS Form W-9

  • Banking information for ACH transfer

  • Identity or business verification documentation

Funds will be disbursed within a reasonable timeframe after verification is complete.


6. Use of Grant Funds

Grant funds must be used for business-related purposes only.

Permitted uses may include:

  • Marketing and advertising

  • Equipment or technology

  • Software and tools

  • Professional services

  • Inventory or product development

  • Hiring contractors or staff

  • Business training or professional development

  • Operational expenses related to running the business

Funds may not be used for:

  • Personal expenses unrelated to the business

  • Political activities or contributions

  • Illegal activities

  • Any activity that violates applicable laws

Recipients must use the grant funds within one hundred (100) days of receiving the award.


7. Reporting Requirement

Recipients must submit a brief written update within six (6) months of receiving the grant.

The report should include:

  • A summary of how the funds were used

  • Any measurable business impact

  • Optional supporting materials (screenshots, photos, testimonials, etc.)

Failure to submit the report may result in ineligibility for future grant programs offered by the Sponsor.


8. Publicity and Marketing Rights

By accepting the grant, recipients agree that the Sponsor may use their:

  • Name

  • Business name

  • Photograph or likeness

  • Application excerpts

  • Business story or testimonial

for marketing, publicity, educational content, and promotional purposes related to the Grant.

This may include use in:

  • Social media

  • Website content

  • Email marketing

  • Press releases

  • Interviews or case studies

Recipients will not receive additional compensation for such promotional use.


9. Communications and Email Consent

By submitting an application, applicants consent to receive communications from the Sponsor regarding:

  • Grant updates

  • Application status

  • Future funding opportunities

  • Business resources or announcements

Applicants may unsubscribe from marketing communications at any time.


10. Code of Conduct

Applicants and recipients are expected to conduct themselves in a professional and respectful manner.

The Sponsor reserves the right to disqualify or rescind an award if an applicant or recipient:

  • Provides false or misleading information

  • Engages in harassment, discrimination, or harmful conduct

  • Engages in activity that damages the reputation or integrity of the Grant


11. Limitation of Liability

By participating in the Grant, applicants release and hold harmless the Sponsor, its affiliates, employees, contractors, and representatives from any claims, damages, losses, or liabilities arising out of participation in the Grant or use of the grant funds.

The Sponsor is not responsible for:

  • technical failures

  • submission errors

  • lost or delayed communications

  • events outside its control affecting program administration


12. Program Modification

The Sponsor reserves the right to modify, suspend, or cancel the Grant program at any time for any reason, including but not limited to fraud, technical issues, insufficient applications, or legal considerations.


13. Governing Law

These Terms and Conditions are governed by the laws of the State of Florida.

Any disputes related to the Grant shall be resolved exclusively in courts located in the State of Florida.


14. Acceptance of Terms

By submitting an application for the She Seals the Deal Grant, applicants acknowledge that they have read, understood, and agree to be bound by these Terms and Conditions.
